Job description
- Corporate Secretary:
Support the preparation, organization, and follow-up of board meetings, shareholder meetings, and committee meetings (drafting agendas, minutes, resolutions).
Maintain statutory records, corporate documents, and registers in compliance with local laws and regulations.
Coordinate filings with regulatory authorities.
Liaise with notaries, advisors, and regulators on corporate matters.
- Transfer Agency :
Supervise daily TA operations including investor onboarding (KYC/AML due diligence), transaction processing (subscriptions, redemptions, transfers), capital calls/distributions, and investor reporting.
Act as a key point of contact for clients, investors, auditors, and internal stakeholders, addressing inquiries related to investor transactions, documentation, and account maintenance with a strong focus on service quality and responsiveness
- Transversal responsibilities:
Participate in system implementations, upgrades, process improvements and automation initiatives within the CoSec and TA function.
Participate in training and mentoring of junior staff, fostering a culture of compliance, excellence, and client-focus
- 3-5 years of experience in corporate secretarial services and/or transfer agency within the fund industry in Luxembourg (ManCo, PFS, Big Four or bank)
- Solid knowledge of Luxembourg corporate law and fund governance frameworks
- Familiarity with Luxembourg AML/KYC regulations and CSSF requirements
- Strong attention to detail, with excellent organizational and communication skills
- Fluent in English; proficiency in French is a plus
- Ability to manage multiple priorities and work collaboratively in a team environment
